Building for the Next Stage: Transfer Agent & Forward Stock Split

As we continue preparing for our next stage of growth, we are taking steps to strengthen the infrastructure supporting our shareholders and future strategic opportunities.
Transitioning Transfer Agent Structure
ROCK'N Vodka plans to establish a transfer agent with the capabilities to accommodate a public entity. A new transfer agent infrastructure is expected to provide several important benefits:
- Public-Market Compliance — Supporting the shareholder recordkeeping and reporting requirements associated with public-market readiness.
- Smoother Potential Acquisition Process — Creating a more streamlined process for shareholder records and ownership information if Bella Rio enters into a future acquisition or other strategic transaction.
- Connectivity Across Major Market Exchanges — Providing infrastructure capable of working with the major U.S. market exchanges and supporting a broader range of potential future corporate actions.
- Stronger Shareholder Infrastructure — A more scalable system for managing our growing investor base and ownership records.
Forward Stock Split
During the transition, the Company plans to complete its planned forward stock split. This would increase the shares owned by every Preferred Series B investor.
