A Bigger Stake in ROCK’N: Forward Stock Split Plans

Last year, one of ROCK'N Vodka's original partners were bought out. The reason why ties directly into something we have been working toward for our existing shareholders — a forward stock split.
A forward stock split would increase every investor's current ownership — without any additional capital investment and without having to dilute the Company's shares. This is done by converting existing shares (from the Company's founders) and issuing them to existing shareholders. This financial burden was taken on completely by Company founders Andy and Isabelle Roiniotis, as well as some of the Company's inner advisors. Since existing shares are being converted for the split, no dilution occurs as the total number of shares remains the same.
This forward stock split is designed to do one thing: reward all of our investors. We're doing this because we care for every investor who has supported us along our journey. This action will increase your ownership in the Company while reducing your cost basis. This action is anticipated to happen later this year, with all Preferred Series B investors included.
The contemplated forward stock split remains subject to final approval, documentation, applicable legal and regulatory requirements, and other conditions, and there can be no assurance that it will be completed as currently anticipated.
We also intend to maintain a separate pool of shares that may be used to bring new celebrity and strategic partners into ROCK’N and Bella Rio. Rick Nielsen of Cheap Trick has already demonstrated how much the right relationship can contribute beyond a name on a bottle — through appearances, events, storytelling, retail opportunities, and brand credibility. We want to preserve the ability to create similar alignment with future partners who can meaningfully help grow our company.
