The Acquisition Conversation Is No Longer Theoretical

Recently, we told you we were reopening the acquisition conversation. Today, we want to explain why.
For over a year now, we have been evaluating a potential strategic transaction involving Bella Rio Consulting, Inc. and its brands, ROCK’N Vodka, Bella Rio Bourbon, and the Washington Recipe Rye Whiskey. While there are still important steps ahead—and there is no guarantee a transaction will ultimately be completed—we have reached a point where the opportunity has moved beyond just a conversation.
A Memorandum of Understanding (comparable to a Letter of Intent) is already in place, and we are currently in the final stages of the due diligence process.
As stated previously, we will be taking these next few weeks to cover several topics about the potential acquisition and how it will affect all of our investors.
Preparing for What Could Come Next
We are preparing the Company for the acquisition to occur. Through our due diligence, we've identified benefits for completing the preparation process, regardless of whether the acquisition happens or not.
As part of our preparation, we will be partnering with a transfer agent with the systems and experience necessary to work with publicly traded companies and more complex shareholder structures.
